These Terms of Service ("Terms") govern your access to and use of the Xtrom platform and website (the "Service"), operated by Xtrom, Inc., a Delaware corporation ("Xtrom", "we", "us"). By using the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind it.
Xtrom provides a deterministic runtime firewall and non-human-identity (NHI) governance plane for AI agents — connections, discovery, inventory, identity, access (CIEM), grants (JIT), policy, approvals, decisions, ITDR, audit, and settings. The customer-owned data plane is deployed within your own cloud environment (any Kubernetes / any cloud); the Xtrom-managed control plane is accessed via our SaaS console.
You will not: (a) use the Service unlawfully or to violate others' rights; (b) reverse engineer, resell, or circumvent the Service except as permitted by law; (c) interfere with its integrity or security; or (d) use it to build a competing product. Security testing of your own tenant is welcome under our responsible-disclosure process.
You retain all rights to your data. You grant us a limited license to process privacy-scrubbed operational metadata solely to provide and improve the Service, as described in our Privacy Policy. Agent content processed in-VPC remains yours and is not transmitted to us.
Xtrom and its licensors own the Service, software, and all related IP. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used to improve the Service without obligation to you.
Paid plans are billed per the order form. Beta/design-partner use may be provided at no charge for the pilot period. Fees are non-refundable except as required by law or expressly stated.
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. No security control is perfect; the Service reduces risk but does not guarantee prevention of all incidents.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party's aggregate liability is limited to the fees paid (or payable) for the Service in the 12 months preceding the claim. Nothing limits liability that cannot be limited by law.
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms or violation of law, subject to prompt notice and reasonable cooperation.
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days. On termination, your access ends and we delete or return account data as described in the Privacy Policy.
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these Terms, subject to any different terms agreed in a signed order form.
We may update these Terms; material changes will be communicated through the Service or by email, and continued use constitutes acceptance.
